DEAR STANLEY: I was prompted by your change in employment status, to review our need for your continued services in connection with various federal housing programs. Our interest in these programs for the immediate future is at best minimal, and for this reason we shall not renew the consulting contract heretofore in effect. If we have need of your services in the future, we shall probably do so on a project basis.

May I say that we have greatly enjoyed our relationship, and your services have been most helpful on the matters that we had occasion to discuss with you. In your new association, I wish you every success.

GENTLEMEN: In accordance with your request, we wish to advise you that our arrangements with Mr. Stanley Berman provided for a draw against fees and commissions. Mr. Berman received this draw on a weekly basis to September 4, 1964. and thereafter he received this draw every other week. These draws were applied against fees and commissions.

With reference to The Kratter Corp., please be advised that our office received $12,000.00 during the years 1964 and 1965, of which Mr. Berman was entitled to and did receive 60%, or $7,200.00.

Subject: Project No. 122-32020-R, Barrington Plaza, Los Angeles, Calif. With respect to the attached letter of May 14, 1964, from The Kratter Corporation concerning a proposal to purchase the above project, a meeting was held on May 18, 1964, with Mr. Stanley Berman, New York representative of The Kratter Corporation; Mr. C. Franklin Daniels; Mr. Morton W. Schomer and Mr. Robert D. Cunningham to review the conditions of the proposed purchase and sale from Lesser Development Corporation.

Mr. Berman was advised by Mr. Daniels that the Tenants' Security Deposits aggregating some $128,000 and which have been used in the operations of the project by the mortgagor corporation must be funded as a condition of the proposed purchase and sale of the project.

Concerning Condition No. 3 (iv), Mr. Daniels advised Mr. Berman that any arrangement for payment of the interest referred to in this condition must have the personal guarantee of The Kratter Corporation.

The various conditions of the proposal were discussed and reviewed for clarification and for meeting FHA requirements. With the understandings of the meeting, Mr. Berman will arrange with The Kratter Corporation to submit a revised proposal for purchase and sale with John Hancock Mutual Life Insurance Company, the mortgagee, and FHA for further consideration.

DEAR MR. CROUSE: This will confirm our arrangement whereby you will retain us as consultants with respect to the purchase of the captioned project by you and your associates. We will be retained upon the following terms and

conditions:

1) Scope of Services-We will conduct all negotiations necessary to obtain the approval of the Federal Housing Administration to the transfer referred to above. This approval will permit a conveyance of the land and buildings from the present owning entity to your partnership.

2) It is understood and agreed that Mr. Stanley Berman of this office will be in exclusive charge of this matter and all contact between this office and you shall be made through Mr. Berman.

3) Our compensation for services rendered in this matter will be Five Thousand ($5,000.00) Dollars, plus expenses, payable as follows:

(a) One Thousand ($1,000.00) Dollars upon the signing of this agreement, representing an advance against expenses. It is further understood and agreed that in the event that we are unable to obtain approval, there will be no obligation to make any further payment. However, said One Thousand ($1,000.00) Dollars paid herewith will be considered earned and no refund will be made.

(b) In the event we obtain approval, which will permit the transfer, you will be obligated to pay an additional sum of Five Thousand ($5,000.00) Dollars, less whatever portion of the One Thousand ($1,000.00) Dollars paid herewith has not been expended for travelling expenses and long distance telephone calls.

It is understood that our services will not include the preparation of any of the legal documents necessary in this matter, but that Stanley Berman will assist your attorney and the attorney for the seller in the preparation of these papers.

If the above sets forth our understanding, please so signify by executing the enclosed copy and returning it to us, together with your check in the amount of One Thousand ($1,000.00) Dollars.

DEAR MR. MAYER: I wish to acknowledge your letter of September 24, 1965, together with the enclosed copy of a letter dated December 9, 1964. In order to more fully evaluate the propriety and validity of the claimed compensation for services, I would appreciate determining from you the exact nature and description of the services which are claimed to have been rendered by your office and for which the sum of $5,000 is being claimed. Apparently, the agreement contemplated that your office, through Mr. Stanley Berman, would conduct all negotiations necessary to obtain the approval of FHA. I would appreciate knowing what negotiations were conducted by Mr. Berman, the extent of the same, the time that Mr. Berman spent on this matter, a list of the meetings, and the negotia

tions conducted by Mr. Berman, and with whom, as well as any other information you can give me which would reflect Mr. Berman's performance under the terms of the letter of December 9, 1964. It will, as I say, be necessary to determine this information in order to evaluate the propriety of the claim.

I would also appreciate receiving from your office, a breakdown of the actual expenses which were expended in connection with this matter, and for which the sum of $1,000 had previously been paid to your office.

Your assistance in supplying me with the above information will help expedite this matter.
