guided by the needs of its own people. But it should take advantage of the experiments and profit by the experience of other commonwealths.

This Section now advises that the Association recommend to the Legislature which will shortly assemble at Sacramento, that they shall create a bureau of corporations, and that they shall provide for a commissioner of corporations who shall be the head of such bureau, and who shall be appointed by the Governor for a period of four years, and who shall receive such salary as the Legislature may deem it necessary to provide in order to secure a competent, disinterested and energetic incumbent. Provision should also be made for competent clerical help, which can be increased as the occasion demands.

Such commissioner should be vested with power to make diligent investigation into the organization, conduct and management of the business of any corporation, joint stock company, or corporate combination doing business in the State of California, and to gather such information and data as will enable the Governor to make recommendations to the Legislature from time to time, and to report such information to the Governor from time to time as he shall require. Such commissioner should have the right to subpoena and compel the attendance and testimony of witnesses and the production of documentary evidence, and to administer oaths. It should also be the province and duty of such bureau to gather, compile, publish and supply useful information concerning corporations doing business within this State, including investment companies and corporations engaged in insurance.

The first duty of such commissioner should be to compare the corporation laws of our State with the corporation laws recently enacted in several of the Middle and Eastern States, and after careful study of such laws, and being guided by the needs of our people, and with an eye to the future, to prepare one comprehensive statute, embodying such changes and additions as may be found desirable, to be reported to the Governor for submission to the Legislature at its regular session in 1915, or, if thought desirable, at a special session to be called at an earlier date.

REPORT OF SECTION "D" ON AMENDMENTS TO SUBSTANTIVE LAW.

To the California Bar Association:

The Section "D" charged with the subject of Amendments to Substantive Law, submits its report as follows:

1st: It recommends the amendment of Section 1402 of the Civil Code so that it shall read as follows:

Sec. 1402. Distribution of Common Property on Death of Husband. Upon the death of the husband one-half of the community property goes to the surviving wife, and the other half is subject to the testamentary disposition of the husband, and in the absence of such disposition, goes to his descendants equally, if such descendants are in the same degree of kindred to the decedent; otherwise, according to the right of representation; and in the absence of both such disposition and such descendants, goes to the surviving wife.

In case of the dissolution of the community by the death of the husband, the entire community property is equally subject to his debts, the family allowance, and the charges and expenses of administration.

2nd: That Section 131 of the Civil Code be amended by substituting for the words "six months" where it occurs therein, the words "sixty days."

The purpose of this proposed amendment is to make the section conform to the proposed amendment of Sections 939 and 963 of the Code of Civil Procedure, as recommended by the action of this body.

3rd: This Section reports for the consideration of the Association the report from the Section on Substantive Law as printed at pages 200-204 of the proceedings of the last annual meeting of the California Bar Association.
