Incorporated by 14 and 15 Vic., cap. 112 (24th July, 1851), for a railway, commencing in the city of Waterford and terminating at Tramore, on the coast. Length, 7 miles. By 20 and 21 Vic., cap. 27 (3rd July, 1857), the company is authorised to raise additional capital of 10,000, in shares at 5 per cent. preference, and 3,350. in loans, in aid of "new works," station accommodation, &c.; but an extension was refused, This capital was created on 29th September, 1857, at 5 per cent.

By 30 and 31 Vic.. cap. 192 (12th August. 1867), the company was authorised under written consent of three-fourths of the preference shareholders to attach an absolute priority of dividend not exceeding 6 per cent. to any shares unissued, or which may be forfeited and re-issued, with power to redeem the same. Also to borrow on mortgage 15,000l. to discharge the existing liabilities. Extension of time for completion of works till 12th August, 1869. In abeyance.

338.-WEST CORNWALL.

Incorporated by 9 and 10 Vic., cap. 336 (3rd August, 1846), for a line from Carredas to Penzance, with a branch to the Cornwall. Under provisions of the Act the company purchased the Hayle (which had been incorporated since 1834), the consideration paid being the issue of 4,000 shares of 201,, and the assumption of its then existing mortgage debt. It was sought to carry on the line from Hayle to Penzance, by the Act of 1850, authorising the issue of No. 9 forfeited shares in hand, at 61. discount; the dividends from the traffic of the whole line to be shared pro ratá on all shares up to 5 per cent.; any surplus to be additional dividends on the 4,000 paid up (Hayle company), up to 5 per cent. on the whole capital paid up; then further dividends to be rateably divided. By an Act of 1850, modifications of the original agreement were sanctioned; and by an Act of 1853 (17 Vic., cap. 187), the clauses of Act, 1850, are repealed, as main line open, but without prejudice to that half-year's dividend. The Act of 1850 also sanctions the construction of the extension to Penzance, on the narrow instead of the broad

gauge; therefore obviating the necessity of widening the existing Hayle railway, and altering the rolling stock, &c. When, however, any railway shall be made in Cornwall on the broad gauge, this railway must be altered to the broad, or an additional line of rails be laid down.

The Act 17 Vic., cap. 187 (5th August, 1853), authorised extensions and alterations to widen main line 5 miles; to make extension line to Kenwyn, Garas Wharf and Truro river side (2) miles); a junction line from Kenwyn (2 furlongs) to West Cornwall line; to maintain the Hayle Branch (6 furlongs). Productive mileage, 27 miles.

By 24 Vic., cap. 54 (7th June, 1861), the company was authorised to attach a preference of 5 per cent, to the shares (35,0007.) created under the Act of 1853; and to create debenture stock in lieu of loans extinguished.

By 28 and 29 Vic., cap. 219 (5th July, 1865), the company was authorised to enter into working arrangements with the Great Western, Bristol and Exeter, and South Devon, and its ultimate dissolution provided for on terms of agreement.

The line is now worked by the associated companies at a fixed rental equal to 5 per cent, on the preference stock and 24 on the ordinary.

It was reported in August that since the 30th June debentures amounting to 21 7401, had become payable, and these had been replaced by perpetual debenture stock at 4 per cent. The half year's revenue account showed a disposable balance of 6,6551. of which 9751, was required to meet the demands of preference stock, leaving 5,680, out of which the directors recommended a dividend at the rate of 24 per cent, on the ordinary stock, carrying forward a balance of 910. The authorised stock and share capital was 406,9007., of which 21,000l. were unissued.

The accounts are made up to 30th June and 31st December, and the statutory meetings held in Bristol or Penzance, in February and August in every year.

339.-WEST LONDON.

Incorporated by Act 6 Wm. IV., cap. 79 (21st June, 1836), under the title of "THE BIRMINGHAM BRISTOL AND THAMES JUNCTION,' the object being to unite the London and North Western and Great Western with the western districts of the metropolis, and communicate with the river Thames, through the medium of the Kensington canal. The canal was purchased for 36,000. The title of the railway was altered by 3 and 4 Vic., cap. 105. Total mileage authorised, 91; of which 3 miles 75 yards, forming a junction with L. and N. W., near Kensall Green Cemetery, to the Kensington canal, have been opened since 27th May, 1844.

By 8 Vic., cap. 156, the railway was leased to the L. and N. W. and G. W. conjointly, for 999 years, commencing 11th March, 1845, at a rent of 1,8001. per annum.

By 22 and 23 Vic., cap. 134 (13th August, 1850), the Kensington canal and all other properties of the West London were absolutely transferred to the London and North Western and Great Western. These companies, in conjunction with the Brighton and South Western, secure the following guarantees to the different classes of properties in West London, viz.: 148. per 207. share, first class preference, which were issued at 107. per cent. discount, 248. per 201. share, second class preference, all paid up; 48. per share to original shareholders after opening of new line, which took place on 2nd March, 1863; 6s. per share three years after opening of line; 8s. per share six years after opening of line. The company is to dissolve under provisions of the Act 26 and 27 Vic., cap. 208 (28th July, 1863), so soon as an agreement with the West London Extension is finally resolved upon.

The accounts are made up to 30th June and 31st December, and the statutory meetings held in the third week of the months of February and August, or within 20 days therefrom, in every year.

Scale of Voting.-One vote for 5 shares, and one additional vote for every 5 additional shares, but no proprietor can have more than 20 votes.

Certificates must accompany transfer deed. Registration fee, 2s. 6d. each seller.

340.-WEST LONDON EXTENSION.

Incorporated by 22 and 23 Vic., cap. 134 (13th August, 1859), to construct the undermentioned lines and works, viz. :

1. A railway, length 4 miles 6 chains, from a junction with the West London at Kensington, crossing the Thames by a bridge to a junction with the authorised line of the Victoria Station and Pimlic at Battersea. This bridge will be 840 yards in length, with six arches of 120 feet span each, seven arches of 25 feet span each, and with a headway under each arch of 20 feet above Trinity high water mark.

2 and 3. Brauches of the respective lengths of 63 chains and 35 chains, to connect (1) with the West End of London and Crystal Palace near its Clapham Station, and with the South Western,

near the junction of its Richmond branch with the main line.

4. A branch from Battersea to the South Western.

5. A branch, length 27 chains, from the main line near the basin of the Imperial Gas Company to the Thames near the mouth of the Kensington canal.

6. A dock in the parish of Fulham.

7. A diversion of a part of the Kensington canal, belonging to the West London, who are to be authorised to discontinue the use of the part of the canal north of King's Road, Chelsea.

By 24 and 25 Vic., cap. 231 (6th August, 1861), the company obtained an increase of capital to the extent of 105.000., to which the London and North We tern and Grest Western each contribute 35,000, and the South Western and Brighton, 17,300 each. Further borrowing powers, amounting to 35.0001., were also conceded. March, 1863. West Brompton station on 1st October, 1866.

By 26 and 27 Vic., cap. 238 (28th July. 1863), the four subscribing companies were authorised to furnish new capital in the following proportions:

The new borrowing powers extend to 50,000. These lines and branches (except the junction with the South Western) are constructed on the mixed gauge.

WEST LONDON.-The purchase of this line, with its absorption by the new company, is regulated by the following scheme of compensation: -Holders of first-class preferred 201. shares to receive per annum 14s. per share; holders of second-class preferred 201 shares to receive per annum 1. 48. per share; holders of original 201, shares, from and after the completion and opening for public traffic of any part of the new railways, per annum 48. per share; from and after the expiration of three years from such comple tion and opening per annum 6s. per share; and from and after the expiration of six years from such completion and opening per annum 8s. per share. The West London capital consists of 185,9602. in the following shares, there being no mortgage or bond debt-5,338 ordinary shares of 201. each, 106.7601.: 3,200 first-class preference shares, 64,0007.; 760 second-class preference shares of 15,2001. The yearly rent of 1,800, formerly payable to the West London by the London and North Western and the Great Western, is now paid to the company constituted by this Act, which may also, by agreement, disburse the dividends due half-yearly to the original and preference shareholders in the West London.

SPECIAL CHAIRMAN.-The directors, when they think fit, may select a special chairman, not being one of themselves, to act for any period: but no such appointment to be made except by unanimous resolution of a meeting of which at least one director from each of the four companies is present. In event of the assembled directors failing to agree in the appointment of a special chairman, then the B ard of Trade, on the application of any two or more of the companie, may appoint any person not being one of the directors, to act as a special chairman for as long a period as it may think fit.
